The composition of the Board of Directors, its appointment process, incompatibilities, grounds for dismissal, and functions are regulated in Articles 3 and following of Law No. 9,618 and its subsequent amendments, as well as in Articles 8 and following of the Company's Bylaws.
Main powers of the board of directors:
The main powers of the Board of Directors are those established in article 19 of the Company's Bylaws.
How long the board members serve and how they are elected:
The board members shall remain in office for four years and may be reappointed immediately for a single additional term. The board of directors shall be renewed in part, and may not be dismissed as a whole. If any of the directors cease to perform their duties before the end of their term, the new director or directors shall be appointed for the remaining term.
