Functions and competences of units and organizations

I. Board of Directors

ENAP’s Board of Directors is in charge of the Company’s top management, having for such purpose the powers established in its organic law and in its by-laws.

The Board is entitled to delegate a part of its powers to its Chairman, a Director or a Directors Commission, the CEO or any other Company’s employee and, for given purposes, to other persons. At present, the following Directors’ Special Committees exist: Audit Committee; Projects, Business and Investments Committee; Services Retention Committee; and Committee for Oil Price Risk Coverage Policy.

According to the stipulations of its Organic Law, ENAP’s Board of Directors members are:

• Energy Minister, Chairman.

• Executive Vice President of Corporación de Fomento de la Producción (Corfo), who acts as Vice Chairman of the Board;

• Three directors appointed by Corfo;

• One director appointed by Sociedad Nacional de Minería;

• One director appointed by the Mining Engineers Association; and

• One director appointed by Sociedad de Fomento Fabril.

The CEO is in charge of the Company’s top Management, within the framework of the functions and powers established by Law N° 9,618, the Company’s by-laws and ENAP’s Board of Directors. Particularly, he is in charge of implementing the Board’s agreements, to judicially and extra-judicially represent the Company and to watch over the Company’s assets and funds. To perform such duties, he leads the preparation and application of the business plan with a strategic vision, so that the plan is shared by the whole organization.

Exploration and Production (E&P) Director

This Director reports directly to ENAP’s CEO. His task is oriented to the performance of hydrocarbons exploration and extraction activities, both in Chile and abroad, the latter through the subsidiary Enap Sipetrol S.A., all the above within a strict compliance with Quality, Environment, Risks Prevention and Social Entrepreneurial Responsibility policies. The main purpose of this area is the incorporation of hydrocarbons reserves, by means of exploration and optimization of deposits exploitation. In addition, E&P Director is responsible for the Management of the Company’s geothermal assets.

This Director’s tasks, who reports directly to ENAP’s CEO and operates mainly through Enap Refinerías S.A. subsidiary, are as follows:

• To transform crude oil into fuel products (liquefied gas, fuels, kerosene, diesel oil, fuel oil, and oil coke), petrochemical products (ethylene and propylene) and special products (solvents and asphalt bases);

• To transport and store crude oil and its derived products, the latter for their sales to distributor companies both in Chile and in foreign countries;

• To perform refining supplementary processes, normally in association with third parties, to produce the necessary products for its operation (hydrogen, water steam, electric energy) and chemical products (dipe, sulfur, sodium hydrosulfide, sulfuric acid).
• Marketing of crude and oil and natural gas derived products, for the supply of Aconcagua, Bío Bío and Gregorio (Magallanes) refining plants. This activity is carried out mainly in the domestic fuels market, with its own production and purchases to third parties. For this purpose, this Director manages logistic resources in order to optimize transportation costs, both for import and export, as well as coastal sailing inside the country.

The main task of this Director is to coordinate the preparation process of the Business Strategic Plan, as well as the annual management budget. He collaborates with the Lines of Business in the assessment and implementation of initiatives inside and outside Chile, he develops studies and entrepreneurship in the renewable energies area, and he coordinates ENAP’ Social Entrepreneurial Responsibility policies.

This Director is in charge of establishing policies, general standards and procurement corporate procedures, of coordinating and implementing the assets and services retention processes for ENAP, including those assets and services for use throughout ENAP Group of Companies, and to manage the Company’s Suppliers Record.

Also, this Director manages and renders the information and communications technology basic services to all users at ENAP Group of Companies, and develops, implements and delivers support through applications specialized in the business processes.

This Director is responsible for the management of the Company’s financial resources, as well as for obtaining funds, both to finance the investment plans as well as working capital. He is also in charge of carrying out and maintaining the Company’s financial statements, and to follow-up and control funds inflow and outflow. In addition, this Director manages the reduction of financial risks, with the hedge of interest rate, exchange rate and commodities price risk.

Function of the Human Resources Department

The mission of this Department is to manage the necessary processes to optimize people’s and teams contribution to the compliance with the business purposes. To this aim, it carries out the following tasks:

• To manage the work organization processes, labor displacement, employees compensations, development and performance.
• To develop labor relationships based on cooperation, managing dialogue instances with the employees’ representatives.
• To support the administrative staff on matters related to its action area, in order to optimize its function.
• To provide the organization with the technical competences essential for the proper development of productive and support processes.
• To promote a labor culture based on values defined, for the achievement of the strategy goals, and to encourage a labor climate that contributes to a higher productivity. 

III. Magallanes Departments

Exploration and Production Director at Magallanes

The main role of this Director, that reports directly to ENAP’s Exploration and Production Line of Business Department, is to comply with the Company’ strategic purposes, in the administrative, financial, normal operation and projects development areas of the Magallanes Business Unit, by ensuring the safety of people, the processes, the equipment, materials and environment through the leadership of the Line, with the employees’ commitment. Also, this Director is responsible to publicly, judicially and extra-judicially represent ENAP in its activities at the region, as well as watching the Company’s assets and funds at Magallanes.

His main responsibility is the management of processes related with production and transportation, hydrocarbon processes, drilling, maintenance of equipment and facilities, and development of projects; managing the human, assets and budgetary resources assigned in an efficient, economic and technical manner. All the above shall be framed within the compliance of the environmental policies of the Company. Within the context of their mission, this Management is assigned the responsibility of defining the strategies for the exploitation of oil and gas deposits in Magallanes in the short, medium and long-term.

The scope of this area’s advising function covers several juridical issues related to the businesses and activities carried out by the Company, ENAP’s internal management, and the relationship with regulatory entities.

Communications Director

The main responsibility of the Communications area is the Management of ENAP’s Corporate Communications Policy, which includes external and internal communications, the relationship with the communities and the corporate social responsibility actions.

This area acts as a specialized unit, to channel the Company’s information addressed to the international and domestic media on ENAP’ strategic role, as well as on the Company’s development plans, on its projects to diversify the country’s energy matrix and, among other, on the global context of crude and fuels prices.
